1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Host," or "you") and Klick2Kart LLC, an Ohio limited liability company with its principal place of business in Delaware County, Ohio ("SquadClean," "we," "us," or "our"). By creating an account or using SquadClean at squadclean.app (the "Service"), you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Service

SquadClean is a scheduling and notification management platform for short-term rental hosts. It automatically synchronizes booking calendars (via iCal feeds from platforms such as Airbnb, VRBO, and Booking.com) and dispatches automated scheduling notifications (via SMS or WhatsApp) to cleaning staff or independent contractors. SquadClean is a communication and coordination tool only. We are not an employer, staffing agency, or cleaning company. We do not control, direct, or supervise any cleaning personnel.

3. Accounts and Subscriptions

  • You must provide accurate, complete, and current information when creating your account. You are responsible for maintaining the confidentiality of your account credentials.
  • The Service is offered under a free trial period followed by paid monthly subscription plans ("Subscription"). Billing is on a recurring monthly basis in advance.
  • You may cancel your Subscription at any time through your account Settings page. Cancellations take effect at the end of the current billing cycle. No refunds are issued for partial billing periods.
  • We reserve the right to modify subscription pricing with at least 30 days' written notice to your registered email address.
  • SquadClean relies on third-party calendar providers (e.g., Airbnb, VRBO) and messaging networks (Twilio, WhatsApp/Meta). We do not guarantee uninterrupted availability of these external services and are not liable for outages, delays, or policy changes by these providers.

4. Messaging and Communication Policies

By using SquadClean to send SMS or WhatsApp messages to your cleaners or staff, you represent, warrant, and agree that:

  • You have obtained prior express written consent from every recipient to receive automated scheduling messages from or on behalf of your business.
  • All recipients are employees, contractors, or agents directly associated with your short-term rental operations. You will not use the Service to contact any third party who has not consented.
  • You will not use the Service to send promotional, marketing, spam, or any content unrelated to short-term rental scheduling coordination.
  • You agree to comply with all applicable telecommunications laws, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, A2P 10DLC carrier regulations, and any applicable international messaging laws.
  • You will maintain records of recipient consent and provide such records to SquadClean upon reasonable request.

Notice regarding Twilio 10DLC: Usage of the Service requires compliance with US carrier A2P 10DLC messaging regulations. SquadClean reserves the right to suspend or terminate accounts that trigger carrier spam filters, generate excessive opt-out rates, or otherwise violate A2P 10DLC policies without refund.

You, not SquadClean, are the message sender and originator under applicable telecommunications law. Klick2Kart LLC is a software platform provider only.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KLICK2KART LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to, use of, or inability to access or use the Service;
  • Any missed cleanings, unread messages, or scheduling failures caused by invalid iCal URLs, third-party platform outages, or cleaner non-response;
  • Unauthorized access to or alteration of your transmissions or data;
  • The conduct or actions of any cleaner, contractor, or third party facilitated through the Service.

IN ANY CASE, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages, so the above limitations may not apply to you in full.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE RELIABILITY OF THIRD-PARTY iCAL FEEDS OR TWILIO MESSAGE DELIVERY.

7. Dispute Resolution and Arbitration

Informal Resolution: Before initiating any formal proceeding, you agree to first contact us at support@squadclean.app and attempt in good faith to resolve the dispute informally for at least 30 days.

Binding Arbitration: If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Delaware County, Ohio. The arbitrator's decision shall be final and binding.

Class Action Waiver: YOU AND KLICK2KART LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Exceptions: Either party may bring an individual claim in small claims court in Delaware County, Ohio if it qualifies.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware County, Ohio.

9. Indemnification

You agree to defend, indemnify, and hold harmless Klick2Kart LLC and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorneys' fees) arising from: (a) your use of and access to the Service; (b) your violation of these Terms; (c) any messages sent through the Service to recipients; or (d) your violation of any third-party rights, including any intellectual property or privacy rights.

10. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice via your registered email address prior to the new terms taking effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
